About Colin

Colin has experience predominantly relating to the global commodities and shipping sectors, including in relation to sale contracts, charterparties, guarantees, emissions trading, derivatives and regulations affecting the trading of commodities (such as EMIR, FSMA, MAR, MiFID II, REACH and REMIT).

Colin has acted in international arbitrations conducted under various institutional rules, such as those of GAFTA. On the advisory side, Colin’s experience includes assisting clients (such as traders, shipping companies and financial institutions) with the drafting and negotiation of physical commodity sale and purchase agreements, and derivatives documentation. He has also completed a secondment at a major national oil company.

Colin is qualified in England and Wales.

Disputes

  • Advised a large trader on a dispute concerning the pricing and rollover aspects of a forward contract.
  • Advised a steel solutions provider in respect of pursuing an arbitration claim for unpaid steel billets.
  • Acted for an international agri-business in connection with arbitration and court claims for unpaid cargo and alleged default under a payment guarantee, and the settlement of the same.
  • Acted for a judgment creditor in pursuing a commodity trading company for outstanding debts.
  • Assisted with proceedings for a claim relating to the balance of an outstanding purchase price under a contract for sugar.
  • Assisted with an anti-suit injunction application and hearing.

Corporate and Commercial

  • Assessed downstream, upstream, pure and demand guarantees, particularly on-demand parent company guarantees.
  • Advised on LIBOR cessation mechanisms, including recommending substitutes for references to LIBOR within loan agreements and default interest provisions.
  • Assisted traders and financial institutions in relation to facility agreements and services contracts.
  • Advised a large agricultural company on the drafting aspects of brokerage and CFR contracts, as well as futures pricing and un-pricing provisions.
  • Drafted an engagement agreement for a social impact asset manager.
  • Advised on the preparation of precedent voyage charterparties.

Regulatory work

  • Advised on the enforceability of netting provisions in various ISDA agreements.
  • Assisted with the management and operations of an association of fuel traders.
  • Advised a global maritime services company on the financial regulatory aspects of proposed salary advance activities.
  • Advised in relation to registration obligations under the REACH regulation.
