We help our clients navigate all stages of a restructuring, whether it is initial support to company directors and advice to lenders, the preparation of due diligence reports and the negotiation of any standstill arrangements and term sheets, the legal structuring of the restructuring (in conjunction, where relevant, with local counsel), or the implementation of the agreed restructuring plan.

Diverse clients

Our clients include the creditors of companies or groups that are undergoing restructuring as well as the distressed companies/groups themselves. We act for listed and unlisted companies, banks and other lenders, trading counterparties, company directors, turnaround investors and managers, insolvency practitioners, corporate purchasers and other stakeholders. We also have particular expertise in dealing with trust matters in offshore financial jurisdictions.

Cross-border expertise

The international nature of our practice means that our lawyers are routinely involved in cross-border issues. We are able to form teams across our worldwide offices, and have specialised experience in dealing with the interaction between Chapter 11 of the US Bankruptcy Code and the administration procedure under the UK Insolvency Act.

We also have expertise and experience in dealing with the impact of the European Insolvency Regulations, a wide-ranging piece of European legislation which creates opportunities for financially distressed corporate groups.

A history of success

Over the years our Restructuring Group has successfully advised creditors and debtors in several important matters, including the restructuring of ED&F Man, GombaHoldings, Bermuda Fire & Marine, CammellLaird, HIH, New Cap Re and Cenargo. The latter was the first case to be heard by the English Court regarding the crucial concept of centre of main interests (COMI) as defined in the European Insolvency Regulations.

Within the wider Restructuring Group we also have a dedicated Fraud & Insolvency team whose expertise includes litigation on behalf of administrators, liquidators, provisional liquidators and other office-holders, fraud related insolvencies, fraud investigations and asset tracing, asset recovery in large bankruptcies and issues arising from the cross-border insolvency regulations 2006.
