Global sector-focused law firm HFW is advising Global Lithium Resources Limited (GL1) on its proposed $333 million acquisition by Titan Lithium (Titan) by way of scheme of arrangement.
GL1 is a diversified West Australian lithium exploration and development company, which owns the flagship Manna Lithium Project. The proposed transaction is in line with the company’s priority to deliver shareholder value.
Titan is a UAE-headquartered critical minerals group developing one of the region’s largest battery-grade lithium processing facilities in Abu Dhabi.
The offer price represents a significant and attractive premium to GL1’s last traded share price and various volume weighted average share price calculations.
HFW’s deal team working on the transaction is led by Australia Corporate and Commercial Partner Bryn Davis, assisted by Legal Director Lili Pan, and Associate Darcy Gordon. They are working closely with our UAE team led by Partner Rula Dajani Abuljebain and assisted by Associate Missba Nizami. Australia Commodities Partner Peter Sadler will advise on the Court approval of the scheme, with the support of Associates Andrew McDade and Robin Chai.
