What we do Experience

We specialise in energy and natural resources, and major infrastructure projects, such as ports and terminals. Our capabilities are as follows:

  • Energy and natural resources

    • Sale and acquisition of companies and interests: Negotiation of sale and purchase agreements, as well as associated due diligence. Also, tailoring the document to ensure that risk areas identified in the due diligence process follow through into the sale and purchase agreement i.e. pre-conditions with respect to consents or waivers, change of control, representations and warranties, tax and working capital adjustment provisions. Also, the structuring and negotiation of financing agreements, as well as associated advice.

    • Project finance: Our experience extends from acquisition financing to asset financing for major equipment, limited and non-recourse project financing in the mining industry, in power generation and in port development.

    • Structured finance and leasing: We have worked on structured securitisation transactions to monetize the revenues from particular business areas in the mining sector.

  • Infrastructure projects

    • Development projects in several jurisdictions: we advise on the building of new projects, including handling all planning and regulatory processes, as well as on the transfer of property. We advise on the acquisition, development and management, and negotiation of concession agreements and lease agreements for the use of land.

    • Sale and purchase of assets: our corporate lawyers advise on all aspects of mergers and acquisitions, from the contractual arrangements and regulatory clearances to tax and financing. We also we advise on all contracts relating to the ownership, operation and management of terminals, maintenance contracts and equipment acquisition master agreements. We advise on the broad spectrum of contracts relating to container, bulk, LNG, ro-ro, tanker and other terminals worldwide.

    • Dealing with Government agencies in respect of a range of regulatory issues, including drafting regulatory schemes for Government agencies: for example, we advise on the restructuring of port authorities, including the drafting and enactment of new legislation establishing a new ports authority to grant concessions to commercial operators.
