Electricity/ power projects

  • Acting for insurers in a claim for losses relating to a fire at the premises of an electricity supplier which damaged equipment to be installed on the transmission network, as well as the generation equipment itself.
  • Representing the senior lenders on the US$750m financing for Rayong Electricity Generating Company, for its 1210 MW gasfired combined cycle plant at Rayong, Thailand.
  • Acting for liability insurers and utility service companies sued in connection with bushfires alleged to have been caused by distribution network conductor failures – claims in excess of AUS$ 2 billion.
  • Acting for an international power company and coal trader in a trading dispute in South Africa with a South African mining company concerning the supply and shipment of coal under a long term supply agreement.
  • Representing a Hong Kong utility company in a London arbitration seeking US$85 million compensation from the producer and supplier of gas.

Biofuel/ Ethanol

  • Advising a UK utility company on the purchase, transportation and use of biomass fuel for power generation to comply with renewables obligations, including risk management issues.
  • Providing advice on concerning EU investigation into subsidies for biofuels.
  • Advising an oil major in a dispute with another oil major in relation to import duties on bio-ethanol delivered to Northern Europe from South and Central America.
  • Drafting and advising on a master and a standalone long term biomass sale and purchase agreement for a major European energy company.
  • Advising and drafting documentation in connection with a ten year sale and purchase agreement relating to the proposed construction and operation of an ethanol production.

Rigs

  • Advising on a dispute with a Korean shipyard concerning works to extend and upgrade a production platform offshore Qatar.
  • Negotiating the settlement of a disputed US$80m insurance and reinsurance claim arising from an explosion on a North Sea production platform.
  • Advising an Asian industrial construction company on construction contracts and sub-contracts for two mobile semi-submersible drilling units.
  • Involvement in numerous casualties arising out of the 2005 and 2007 hurricane seasons, including the semi-submersible drilling rigs ARCTIC 1 and DEVELOPMENTS DRILLER 1, and the jack-up rig OCEAN WARWICK.
  • Acting for Seadrill Management Services following a punch through on the EKHA (SEADRILL 5) jack up rig whilst "spudding in" at the beginning of a drilling operation in the Bay of Bengal.

Marine support services

  • Advising on contracts for the supply of ice breaking vessels to the Sakhalin project and the supply of diving services for pipe installation and associated subsea work.
  • Preparing the tender documents for the provision of tug services to a joint venture between several oil and gas producers for a LNG import terminal.
  • Drafting bespoke contractual documents and litigating contractual disputes in relation to OSVs. Advising on risk analysis and advice in relation to an invitation to tender for a supply vessel contract in a remote, environmentally and politically sensitive location.
  • Educating users of offshore contracts through Bimco panel.
  • Assisting on casualties including fires, collisions and capsizes of OSVs.

Seismic Exploration

  • Assisting on accidents including streamers being run over or damaging fixed objects.
  • Drafting bespoke contractual documents and litigating contractual disputes.
  • Advising on surveys in disputed territorial waters.
  • Advising on implications of using new technology.

FPSO

  • Advising a UK listed oil company in respect of the project documents for the FEED, conversion, installation and operation of the "Uisge Gorm" FPSO in the UK Sector of the North Sea.
  • Advising in respect of insurance claims arising out of an unsuccessful on-site disconnection and resulting damage to installation of an FPSO.
  • Advising an independent oil and gas company on a contract for the design, conversion, commission and sale of a floating production, storage and offloading unit to our client, to be deployed in the Southern Hemisphere.
  • Providing specialist advice on the floating production, storage and off-loading assets, in connection with the US$3 billion acquisition of a North Sea Oil Company.
  • Advising following an incident onboard an FPSO in which a pressurised gas pipeline was inadvertently broken causing injuries to two technicians and releasing a quantity of gas.

LNG

  • Advising Woodside on the Browse Project in Western Australia including preparing and negotiating tender documentation for the construction and installation of energy infrastructure elements of the Project.
  • Acting for Bonny Gas Transport on an innovative $680m refinancing of their entire fleet of 13 LNG vessels.
  • Acting as legal advisers to Qatar Gas Transport Company (QGTC) to build up their fleet of 28 jointly-owned and 25 wholly-owned LNG Vessels.
  • Acting for China Petroleum Corporation (CPC) in negotiation and conclusion of an LNG sale and purchase agreement with Pertamina in relation to Badak VI Project.

Pollution/ Environmental Issues

  • Conducting an investigation into a hydrocarbon escape on an FPU (Fixed Production Unit) in the North Sea.
  • "MSC NAPOLI" – acting for the hull and machinery insurers, defending the salvage claims, defending the cargo claims, dealing with pollution and wreck removal and liaising with several UK government agencies on all these issues.
  • Assisting a client in obtaining necessary Trans-Frontier Shipment of Waste (TFS) Licences and Food and Environmental Protection Act (FEPA) Licences together with associated Notification and Movement Documents for disposal/recycling of component parts.
  • "MAERSK HOLYHEAD" - acting for the owners of an LPG carrier which had a collision in the approaches to Maracaibo. There was substantial pollution from the vessel's bunker tanks leading to a mammoth clean-up organisation and claims from local fishermen and others.

General Aviation

  • Acting for a helicopter operator/lessor in connection with disputes arising out of the delivery of two Eurocopter helicopters under the terms of a sale contract.
  • Defending the owners of a jack-up drilling rig which was operating off the UAE following a helicopter crash on the rig killing all seven air crew and passengers.
  • Advising on aircraft capacity trading, including wetleases, charter agreements and off shore helicopter services agreements.
  • Advising a US Manufacturer in relation to claims arising from a helicopter total loss in Shanghai.

Transport

  • Negotiating one of the largest ever project logistics contracts relating to an oil and gas project and advising on the insurance programme required by the project developer.
  • Preparing a procurement framework agreement for use by a major international oil company for forwarding services.
  • Providing advice on drafting appropriate wording for a grains commodities producer in relation to the transport and supply of biomass pellets to a UK power generator.

Wind Power

  • Assisting a clean energy fund of a major European bank in relation to the acquisition of a wind farm.
  • Assisting on a claim related to turbine performance on the installation of a CCGT.
  • Advising on the competition aspects of a wind farm joint venture.
  • Assisting a subsidiary of a French bank in a €40m financing for the development of two wind farms located in the Tarn region.
  • Advising a company specialising in renewables on real estate and construction issues in relation to the acquisition of wind farms in France.

Solar Power

  • Advising a client in relation to a project for the implementation of a solar farm in Burgundy.
  • Advising several banks on the financing and setting up of a company dedicated to the development of solar energy in French overseas territories.
  • Advising a major French financial institution and lenders on the financing of a strategic photovoltaic solar equipment project in French overseas territories.

Retail

  • Defending one of the UK's largest independent suppliers of road fuels, in respect of product liability claims totalling £65 million, from various supermarkets/fuel retailers arising from contamination of unleaded fuel.
  • Advising on aspects of the sale of a fuels retail business incorporating a network of 300 owned and leased sites and drafting and settling associated major refinery supply contracts.
  • Advising a Norwegian gas producer, in proceedings initiated by the European Commission, concerning an alleged infringement of Article 101 of the EC Treaty, in relation to joint selling of gas to customers in the EEA.

Insurance, Trading and other business activities

  • Advising an AIM listed oil company in relation to a proposed acquisition of oil assets in West Africa
  • Advising a trading company in connection with proposed ethanol trading terms.
  • Advising a major independent oil and gas company on insurance/reinsurance structures and policy wordings and advising reinsurers on policy coverage issues arising from well known market losses.
  • Advising a major coal purchaser on drafting and negotiation of a long term "ISDA – style" coal purchase agreement and on ISDA documented coal forward contracts.

Ports and Terminals

  • Reviewing a long term terminal use agreement for a major European energy company in relation to its proposed import of biomass for the production of electricity.
  • Advising a Middle Eastern oil company, in relation to the construction of an export terminal for petrochemicals for an Asian energy conglomerate.
  • Acting for a major exploration company in relation to a single point mooring terminal failure.
  • Advising a major European energy company on access to UK LNG regasification facilities, including reviewing the general terms and conditions of the receiving terminal and considering competition issues arising from a capacity sharing arrangement.

Pipelines

  • Advising on agreements for the tie-in of a North American oil company's gas pipeline to the gas pipeline of another nearby field.
  • Advising overseas owners of a pipe laying vessel in respect of various regulatory and insurance issues associated with operating in Australian jurisdictions.
  • Acting for a major oil company in relation to a US$20m insurance coverage dispute arising out of corrosion to a pipeline in the North Sea.
  • Acting for the owners of the Western Regent, a seismic survey vessel, after it ruptured a pipeline in the North Sea, causing the complete shutdown of an oil field.
  • Representing the owners of an offshore vessel in the Red Sea, after damage to a subsea pipeline, following lifting of the anchors.

Onshore oil and gas

  • Advising on an innovative contractual structure for the development and production of hydrocarbons by the national oil company of a major oil producing country, working in conjunction with international oil companies (IOCs).
  • Advising the state oil company of Brunei Darussalam on a major review of its production sharing agreement and associated documentation for a new round of bidding for exploration and production blocks.
  • Acting for liability insurers and utility service companies sued in connection with bushfires alleged to have been caused by distribution network conductor failures – claims in excess of AUS$ 2 billion.
  • Advising on a proposed investment by a Middle Eastern company in assets in West Africa.

Mining

  • Advising banks on structured prepaid coal sales agreements and loan documentation and advised and structured coal stockpile, tolling and management agreements between financial institutions and power utilities.
  • Drafting a long term coal supply agreement for Nuon Energy Sourcing for the purchase of coal from Australia which covered both FOB and CIF shipments.
  • Representing a major Indonesian conglomerate in connection with the acquisition of a gold mine at Gorontalo, including carrying out due diligence, negotiation of the SPA and closing the transaction.

Tankers

  • Acting for a large oil major in connection with an IPO in New York involving 5 VLCC tankers leased to Knightsbridge Tankers Limited of Bermuda;
  • Acting for Maroil Trading Inc. on combined loans of approx $200,000,000 made available to two of their subsidiaries by a German bank in order to finance the acquisition of two VLCCs.
  • Advising on the resulting loss of life, cargo and pollution claims following an explosion of a tanker in Paranagua, Brazil.
  • Advising on time and voyage tanker charterparties for oil majors, crude oil traders and tanker charterers.
